MGI VERIFIED PRIVACY POLICY

1. Scope of Application

We at MGI Verified value your privacy and take protecting your privacy seriously. In order for us to provide our services (“Services”) we need to collect and use some of your personal information. We want you to understand what personal information we collect and how it is used. This privacy policy (“Privacy Policy”) explains our collection, use and sharing practices with respect to your personal information.

When you use our Services or access the MGI Verified website(s), you acknowledge that you (i) have read and accepted this Privacy Policy without exception; (ii) consent to our privacy practices, including our collection, use and disclosure of your personal information as set out in this Privacy Policy; and (iii) agree to be bound by the Privacy Policy. If you do not consent to this Privacy Policy, please do not access our website(s), use our Services or provide any personal information. In this Privacy Policy “we” and “us” means MGI Verified, Inc., offering or providing Services to our customers with whom we enter into a Master Service Agreement or a similar contract (each, a “Customer”). You may be a principal, employee or independent contractor of our Customer, an individual acting as an independent reviewer of our Customer’s products and services (a “Referee”) or a principal, employee or independent contractor of a potential sales prospect of our Customer (a “Vendor Prospect”).

This Privacy Policy covers our Services and any collection, storage, transfer, sharing, disclosure and handling of your personal information when you subscribe to, participate in or use our Services.

This Privacy Policy does not cover and we are not responsible for third-party sites or applications that may be linked from our sites; linking to them does not imply an endorsement. You should always review the privacy policy of any third-party site or application.

Any personal information collected, held or otherwise Processed by MGI Verified relating to any individual is subject to this Privacy Policy. This Privacy Policy summarizes (i) the rights of individuals with respect to their personal information and (ii) the responsibilities of MGI Verified with respect to access and use of such personal information.

The requirements of this Privacy Policy are in addition to, not in substitution of, any other requirements under the applicable data protection laws and regulations. In case of conflict between the applicable data protection laws and regulations and the provisions of this Privacy Policy, the applicable data protection laws and regulations shall prevail.

MGI Verified may amend this Privacy Policy at any time. Please check this Privacy Policy periodically on http://mgiverified.com/privacy-policty to keep yourself informed of any changes.

2. Definitions

This Privacy Policy uses the following defined terms:

2.1 “Data Controller” means the person, entity or organization which determines the purposes and means of the Processing of Personal Data for which, and the manner in which, any Personal Data is Processed.

MGI Verified will generally be acting as Data Controller when:
​
(a) Processing Personal Data for the purposes set forth in Section 3.1(c) and, in certain circumstances, for the purposes set forth in Section 3.1(b); and
​
(b) in any event when the Data Subject is using MGI Verified's Services for its own purposes.
​
Normally, however, MGI Verified’s Customers will be Data Controllers with respect to any Personal Data contained in the materials, information or data provided by such Customers (“Customer Data”) and in the Reviews and Interviews submitted by Referees.

2.2. “Data Subjects” for the purpose of this Privacy Policy include all identified or identifiable natural persons about whom MGI Verified holds Personal Data.
2.3. “Data Processor” means the organization which Processes Personal Data on behalf of a Data Controller. When Processing Customer Data, Personal Data for the purposes set forth in Section 3.1(a) and, in certain circumstances, for the purposes set forth in 3.1(b), MGI Verified will be acting as Data Processor on behalf of a MGI Verified's Customer unless the Data Subject is using MGI Verified's Services for its own purposes.
2.4. “Personal Data” is any information or data relating to a living individual which allows the individual to be identified, whether from that data alone, or in combination with other information which is in the possession, or likely to come into the possession of MGI Verified and also includes anything that identifies, relates to, describes, is capable of being associated with, or could be reasonably linked, directly or indirectly, with a particular consumer or household. A description of the Personal Data is set out in Schedule 1.
Personal Data does not include:

Publicly available information from government records.

De-identified or aggregated consumer information.

Information excluded from the scope of California Consumer Privacy Act of 2018 (“CCPA”), such as:

health or medical information covered by the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and the California Confidentiality of Medical Information Act (CMIA) or clinical trial data; and
-
personal information covered by certain sector-specific privacy laws, including the Fair Credit Reporting Act (FRCA), the Gramm-Leach-Bliley Act (GLBA) or California Financial Information Privacy Act (FIPA), and the Driver’s Privacy Protection Act of 1994.

We obtain Personal Data listed above from the following categories of sources:

Directly from you. For example, from forms you complete on our website(s), Reviews and Interviews obtained from you as a Referee, any feedback provided by you as a Vendor Prospect and any subscription and/or registration information from you on behalf of a Customer.

Indirectly from you. For example, from observing your actions on our website(s).

2.5. “Processing” means any operation or set of operations which is performed upon Personal Data or sets of Personal Data, whether or not by automatic means, such as collection, recording, performance, display, organization, structuring, storage, adaption or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction of Personal Data.

2.6. “Sensitive Data” means, among others, Personal Data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, labor union membership, and the Processing of Personal Data concerning health or occupational safety.

3. Collection and Use of Personal Data

3.1. MGI Verified may Process Personal Data for the following purposes (the “Purposes”):
(a) In order to provide the Services and to do any of the following in connection with the Services:

Fulfill a service request;

Complete a purchase or subscription;

Establish and verify your identity;

Activate and maintain an online account;

Handle and resolve billing disputes;

Monitor and maintain the performance and functionality of the Services consistent with your choices;

Provide technical support;

Protect and improve our Services;

Offer updates, notices and other information about product or services, including the Services, available from MGI Verified or its affiliates as permitted by law;

Respond to your questions, inquiries, comments and instructions;

Prevent, detect or investigate crime and other unlawful activities, including fraud and money-laundering or terrorist financing, and analyze and manage commercial risks;

Comply with applicable laws, regulations, codes of practice, guidelines, or rules, or to assist in law enforcement and investigations conducted by any governmental and/or regulatory authority;

In connection with any claims, actions or proceedings (including but not limited to drafting and reviewing documents, transaction documentation, obtaining legal advice, and facilitating dispute resolution), and/or protecting and enforcing our contractual and legal rights and obligations;

Update our records and keep your contact details up to date;

Track and analyze de-identified data and provide such data to third parties that provide various services to MGI Verified;

For statistical purposes to help improve the Services;
-
Protect against fraud and potential fraud;

Notify you of any known breach of your personal information;

Maintain the security and integrity of MGI Verified’s networks, systems and Services;

Transmit to any of our affiliated entities and relevant governmental and/or regulatory authorities, for the aforementioned purposes; and
-
For any other related purposes that would reasonably be expected for which you provided the information.

(b) To operate, administer and optimize its website(s) and to diagnose problems with its website(s);
(c) For direct marketing purposes so that MGI Verified may provide Data Subjects with information about products and services, including those of its Customers, that may be of interest to the Data Subjects.
3.2. Personal Data relating to any current user registered on our website(s) (“Registered User”) of MGI Verified's Services will be collected directly from such Registered User, from MGI Verified's Customer (if such Registered User is not himself or herself a Customer for his or her own purposes) or from any individual who has been designated by such Registered User as a potential Referee or Vendor Prospect.

3.3. Personal Data relating to Referees and Vendor Prospects will be collected from the Referees and Vendor Prospects themselves or from a Registered User.

3.4. MGI Verified shall only Process Personal Data to the extent that is relevant for the Purposes set forth herein. When you use our Services or our website(s), you consent to us collecting your Personal Data. Please note that if we do not have your Personal Data, we may not be in a position to provide our Services to you or to make available all functions of our website(s), (or to a company who we provide Services to who you are contracted to), either to the same standard or at all.

Given that no Sensitive Data are required to achieve any of the Purposes MGI Verified will not
Process Sensitive Data and MGI Verified invites anyone using its Services (whether as a Registered User, as a Referee, Vendor Prospect or otherwise) to refrain from sharing with MGI Verified any Sensitive Data about themselves or other individuals.

3.5. MGI Verified may offer certain functionality from third parties by redirecting you to the third party's website. While visiting the third party site, your privacy choices and the data you share with the third party will be subject to the third party's privacy policy, and not subject to MGI Verified's Privacy Policy. MGI Verified will provide a clear disclaimer when directing you to third party websites where MGI Verified's Privacy Policy does not apply, and you will have the option to continue on MGI Verified without using the third party.

3.6. Categories of Information We Collect and Your Rights When You Use our Websites and Platform
The following lists the categories of, and sources from which, specific pieces of Personal Data are collected. The following also sets forth the categories of, and specific pieces of Personal
Data we may disclose, and the categories of third parties to whom we may disclose such
Personal Data, and the business purposes for which the categories of Personal Data may be used.

We collect information about you for the Purposes as set forth in Section 3.1. MGI Verified will have information about you only if (a) you have provided the information yourself, (b) MGI Verified has automatically collected the information, or (c) MGI Verified has obtained the information from a third party. Below we describe some the various circumstances that fall under each of those three categories and the examples of the Personal Data collected in each one.

(a) Information that you provide us
i. Account signup: When you sign up for an account with MGI Verified to become a Registered User (including Referees and Vendor Prospects) and to access one or more of our Services or functions of our website(s), we ask for information like your name, contact number, email address, job title or position, company name, industry sector, country and products or services you are using in your work to complete the account signup process. You'll also be required to choose a unique username and a password for accessing the created account. After signing up, you will have the option of choosing a security question and an answer to the security question — if you provide these, they will be used only while resetting your password.
ii. Form submissions: We record information that you submit when you (i) register for any event, including webinars or seminars, (ii) subscribe to our newsletter or any other mailing list, (iii) submit a form in order to download any product, whitepaper, or other materials, (iv) participate in contests or respond to surveys, or (v) submit a form to request customer support or to contact MGI Verified for any other purpose.
iii. Payment processing: When you buy something from us, we ask you to provide your name, contact information, and credit card information or other payment account information. When you submit your card information, we store the name and address of the cardholder, the expiry date and the last four digits of the credit card number. We do not store the actual credit card number. For quick processing of future payments, if you have given us your approval, we may store your credit card information or other payment information in an encrypted format in the secured servers of our payment gateway service providers.
iv. Reviews, Interviews and Testimonials: When you authorize us to record, post, publish, perform or display Reviews, Interviews and Testimonials in which you participated about our Customers’ products and services, we may include your name and other Personal Data in such content. Please consult the Terms and Conditions for Referees for additional information.
v. Interactions with MGI Verified: We may record, analyze and use your interactions with us, including email, telephone, and chat conversations with our sales and customer support professionals, for improving our interactions with you and other customers.

(b) Information that we collect automatically
i. Information from browsers, devices and servers: When you visit our website(s), we collect information that web browsers, mobile devices and servers make available, such as the internet protocol address, browser type, language preference, time zone, referring URL, date and time of access, operating system, mobile device manufacturer and mobile network information. We include these in our log files to understand more about visitors to our website(s).
ii. Information from first party cookies and tracking technologies: We use temporary and permanent cookies to identify users of our services and to enhance user experience. We embed unique identifiers in our downloadable products to track usage of the products. We also use cookies, beacons, tags, scripts, and other similar technologies to identify visitors, track website navigation, gather demographic information about visitors and users, understand email campaign effectiveness and for targeted visitor and user engagement by tracking your activities on our websites. We only use first-party cookies and do not use third-party cookies or other third-party tracking technologies on our website(s). You can learn more about the cookies used on our websites in Section 8 below.
iii. Information from application logs and mobile analytics: We collect information about your use of our products, services platform and website(s) from application logs and usage analytics tools, and use it to understand how your business use and needs can improve our products. This information includes clicks, scrolls, features accessed, access time and frequency, errors generated, performance data, storage utilized, user settings and configurations, and devices used to access and their locations.

(c) Information that we collect from third parties
i. Signups using federated authentication service providers: You can log in to MGI Verified Services using supported federated authentication service providers such as LinkedIn, Microsoft, Salesforce.com and Google. These services will authenticate your identity and give you the option to share certain personal information with us, such as your name and email address.
ii. Referrals: If someone has referred any of our or our Customers’ products or services to you through any of our referral programs, that person may have provided us your name, email address and other personal information. You may contact us at support@MGIVerified.com to request that we remove your information from our database. If you provide us information about another person, or if another person gives us your information, we will only use that information for the specific reason for which it was provided to us.
iii. Information from our reselling partners and service providers: If you contact any of our reselling partners, or otherwise express interest in any of our or our Customers’ products or services to them, the reselling partner may pass your name, email address, company name and other information to MGI Verified. If you register for or attend an event that is sponsored by MGI Verified or its affiliate, the event organizer may share your information with us. MGI Verified may also receive information about you from review sites if you comment on any review of our or our Customers’ products and services, and from other third-party service providers that we engage for marketing our products and services, including the Services.
iv. Information from social media sites and other publicly available sources: When you interact or engage with us on social media sites such as Facebook, Twitter, Google+ and Instagram through posts, comments, questions and other interactions, we may collect such publicly accessible information, including profile information, to allow us to connect with you, improve our products, or better understand user reactions and issues. We must tell you that once collected, this information may remain with us even if you delete it from the social media sites. MGI Verified may also add and update information about you, from other publicly available sources.

We support data mapping and inventories of the Personal Data we collect about Registered Users (and their employers and/or devices) and internal processes and resources in place to be able to respond within 45 days to requests for access to or deletion of Personal Data submitted by our Registered Users. We do not knowingly collect any personal information from individuals under the age of 16. As explained in Section 5 below, under the CCPA you may have the right to access portable copies of your personal information, copy and request deletion of specific pieces of Personal Data we collect.

In the last twelve months, MGI Verified may have collected, used, and shared, for business purposes, Personal Data about you as described in this Privacy Policy. Each category of data may be used by MGI Verified or shared with third parties also as described in this Privacy Policy. MGI Verified will not sell your Personal Data without your consent.
4. Timely Processing

MGI Verified shall retain Personal Data in a manner consistent with the applicable privacy and data protection laws and regulations. In any event, Personal Data shall not be kept longer than is necessary for the Purposes, unless the data are required to be kept longer by law. If MGI Verified is acting as a Data Processor, the duration of this term will be determined by the Data Controller.

5. California Resident Rights
​
If you are a California resident, you have the additional rights outlined in this Section 5. If you are a California resident and there are conflicts between this Section 5 and any other provision of this Privacy Policy, the portion that is more protective of your Personal Data shall control. If you have any questions about this Section 5 or whether any of the following applies to you, please email us at support@mgiverfieid.com. Your rights as a “Consumer” under the California Consumer Privacy Act of 2018 ("CCPA") vary depending on whether MGI Verified acts as a “Service Provider” or a “Business,” as such terms are defined under the CCPA, with respect to your Personal Data.

5.1. MGI Verified as Service Provider
​
The Services MGI Verified offers to its Customers are deemed “processing on behalf” of such
Customers under the CCPA. Therefore, when MGI Verified provides Services to its Customers (i.e., “Businesses”), which determine the purposes and means of processing of your Personal
Data, MGI Verified is acting as a Service Provider under the CCPA and is processing Personal
Data on behalf of its Customers. Our receipt and collection of any Personal Data related to Consumers is completed on behalf of our Customers in order for us to provide the Services. For example, if you are an end user of the Services, MGI Verified will be acting as a processor or sub-processor to the Customer (your vendor, employer or in any other contractual or statutory capacity) who has contracted to use our Services and therefore be classified as a Service Provider.

We will assist our Customers by appropriate technical and organizational measures currently available to MGI Verified, insofar as this is possible, for the fulfilment of our Customers’ obligation to respond to legitimate Consumers’ requests under the CCPA. If MGI Verified receives a request from a Consumer directly, it will promptly notify the Customer so the Customer could take appropriate action with regards to the request.

If you are a Consumer under the CCPA and believe that your Personal Data is being processed by us, you should direct any exercise of your Consumer data subject rights under the CCPA to our Customer on whose account you use or receive the benefit of the Services. Please address any requests for access or deletion of your Personal Data and other inquiries under the CCPA directly to the Customer with whom you have a direct relationship. If you contact us regarding information associated with a Customer, we may forward your requests or inquiries to the relevant Customer.

5.2. MGI Verified as “Business”
​
If you are a “Consumer” as defined under the CCPA and in the instances where MGI Verified acts as a “Business” as defined under the CCPA and receives or collects your Personal Data from you directly and on its own determines the purposes and means of the processing of such Personal Data, then you have the right to exercise the following privacy rights under the CCPA:

Access. You have the right to request certain information about our collection and use of your Personal Data over the past 12 months. We will provide you with the following information:

The categories of Personal Data that we have collected about you;

The categories of sources from which that Personal Data was collected;
-
The business or commercial purpose for collecting or selling your Personal Data;
-
The categories of third parties with whom we have shared your Personal Data; and
-
The specific pieces of Personal Data that we have collected about you.

However, please note that these rights are not absolute, and in certain cases we may decline your request as permitted by law.

If we have disclosed your Personal Data for a business purpose over the past 12 months, we will identify the categories of Personal Data shared with each category of third-party recipient.
If we have sold your Personal Data over the past 12 months, we will identify the categories of Personal Data purchased by each category of third-party recipient.

5.3. You have the right to request that we delete the Personal Information that we have collected from you. Under the CCPA, this right is subject to certain exceptions. For example, we may need to retain your Personal Data to provide you with the Services or complete a transaction or other action you have requested. If your deletion request is subject to one of these exceptions, we may deny your deletion request.

5.4. To exercise the rights described above, you must send us a request that (i) provides sufficient information to allow us to verify that you are the person about whom we have collected Personal Data (this will require you to send an email from the account in question, login credentials and/or government identification document), and (ii) describes your request in sufficient detail to allow us to understand, evaluate, and respond to it. Each request that meets both criteria will be considered a “Valid Request.” We may not respond to requests that do not meet these criteria. We will only use Personal Data provided in a Valid Request to verify your identity and eligibility and complete your request. You do not need an account to submit a Valid Request.

If your identity and eligibility are successfully verified by us, your request will be processed, and we will work to respond to your Valid Request within 45 days of receipt of all required documentation from you. We will not charge you a fee for making a Valid Request unless your Valid Request(s) is excessive, repetitive, or manifestly unfounded. If we determine that your Valid Request warrants a fee, we will notify you of the fee and explain that decision before completing your request.

You may submit a Valid Request by emailing us at support@mgiverified.com. You may make a request to access your personal information twice within a 12month period. Any disclosures we provide will only cover the 12-month period preceding the receipt of the request.
​
You may also authorize an agent (an “Authorized Agent”) to exercise your rights on your behalf if you have provided written permission to the Authorized Agent, and if the Authorized Agent’s identity can be verified by us. We may request a copy of this written permission from your Authorized Agent when it makes a request to exercise your rights on your behalf.

5.5. No Discrimination for Exercising Your Rights Under the CCPA
​
We will not discriminate against you for exercising your rights under the CCPA. We will not deny you our goods or services, charge you different prices or rates, or provide you a lower quality of goods and services if you exercise your rights under the CCPA. However, we may offer different tiers of our Services as allowed by applicable data privacy laws (including the CCPA) with varying prices, rates, or levels of quality of the goods or services you receive related to the value of Personal Data that we receive from you.

6. Data Security
​
6.1. MGI Verified has adopted and implemented data-handling procedures that limit unnecessary access to and use of Personal Data, as well as technical security measures (like encryption) to reduce the chance of theft or breach. We have also adopted storage limitations to remove, delete or anonymize data that is no longer necessary in order to protect the rights of our Registered Users.

6.2. MGI Verified uses commercially reasonable technical, administrative, and physical controls best practices to protect your Personal Data including data encryption where appropriate; however, since the internet is not a 100% secure environment, we cannot ensure the security of Personal Data during its transmission between you and us. Accordingly, you acknowledge that when you transmit such Personal Data, you do so at your own risk. Nevertheless, we strive to protect the security of your information and are constantly reviewing and enhancing our information security measures. We will notify you of any confirmed security breach of your Personal Data to the extent required by and in accordance with applicable laws.

6.3. We will use commercially reasonable efforts to take appropriate technical and organizational security measures against unlawful or unauthorized Processing of Personal Data, and against the misuse, destruction, disclosure, acquisition, accidental loss of, or damage to Personal Data held by or in control of MGI Verified.

7. Disclosure of Personal Data
​
MGI Verified shares your Personal Data for the Purposes and may disclose it to the following categories of persons described below, and, unless disclosure is compelled by applicable law, rule, regulation, subpoena or other judicial, regulatory or government demand, only with parties who adopt appropriate confidentiality and security measures.

(a) Employees and independent contractors: Employees, consultants, advisors and other independent contractors of all MGI Verified group entities (our subsidiaries, affiliates and parent companies) have access to your Personal Data on a need-to-know basis. We require all employees and independent contractors of MGI Verified group entities to follow this Privacy Policy for Personal Data that we share with them.

(b) Third-party service providers: We may need to share your Personal Data and aggregated or de-identified information with third-party service providers that we engage, such as marketing and advertising partners, video capture and production companies, content providers, IT-related service providers, web analytics consultants and payment processors. These service providers are authorized to use your Personal Data only as necessary to provide these services to us.

(c) Our Customers: We may share your Personal Data with our Customers and Vendor Prospects in connection with the Purposes, including without limitation for the purpose of contacting you about the Customers’ respective products and services, including those that are featured in the Reviews and the Interviews.

7.1. Blogs and forums
​
We may offer publicly accessible blogs and forums on our website(s). Please be aware that any information you provide on these blogs and forums may be used to contact you with unsolicited messages. We urge you to be cautious in disclosing personal information in our blogs and forums. MGI Verified is not responsible for the Personal Data you elect to disclose publicly. Your posts and certain profile information may remain even after you terminate your account with MGI Verified. To request the removal of your information from our blogs and forums, you can contact us at support@MGIVerified.com.

7.2. Social media widgets
​
Our websites include social media widgets such as Facebook "like" buttons and Twitter "tweet" buttons that let you share articles and other information. These widgets may collect information such as your IP address and the pages you navigate in the website, and may set a cookie to enable the widgets to function properly. Your interactions with these widgets are governed by the privacy policies of the companies providing them.

7.3. Disclosures in compliance with legal obligations
​
We may be required by law to preserve or disclose your Personal Data, Customer Data, and service data to comply with any applicable law and/or legal process in which a formal request has been made (e.g. request from an administrative or regulatory government agency, civil suit, subpoena, court order or judicial or administrative proceeding), regulation, including to meet national security requirements.

7.4. Enforcement of legal rights

We may disclose Personal Data, Customer Data and service data to a third party if we believe that such disclosure is necessary for preventing fraud, investigating any suspected illegal activity, enforcing our agreements or policies, or protecting the safety of our users. MGI Verified may also disclose your Personal Data to:

Defend our rights and/or property or the rights and property of others;

Enforce this Privacy Policy;

Respond to claims that the content(s) of a communication violates the rights of another;

Detect, prevent or otherwise address fraud, security, or technical issues.

7.5. Business Transfers

We do not intend to sell our business. However, in the unlikely event that we sell our business or get acquired or merged, we will ensure that the acquiring entity is legally bound to honor our commitments to you contained in this Privacy Policy. We will notify you via email or through a prominent notice on our website(s) of any change in ownership or in the uses of your personal information and service data. We will also notify you about any choices you may have regarding your Personal Data and service data.

Some pages of our website(s) may contain links to websites that are not linked to this Privacy Policy. If you submit your Personal Data to any of these third-party sites, your personal information is governed by their privacy policies. As a safety measure, we recommend that you not share any Personal Data with these third parties unless you've checked their privacy policies and assured yourself of their privacy practices.
